Como hacer un buen Contrato

En la negociación de contratos no olvides estos 5 aspectos

 
Para que una negociación/contrato tenga éxito, cada una de las partes debe ponerse de acuerdo sobre los detalles por escrito. No obstante, los contratos son tan buenos como las personas que lo firman, por eso tengo algunos puntos que quiero compartir para que tengan en cuenta la próxima vez que negocien un contrato.

No hay poderes místicos: En primer lugar, entiéndelo  un contrato no puede hacer milagros. Un contrato no puede protegerte de una demanda o garantizarte que la otra parte cumplirá o estará a la altura del acuerdo. Un contrato  es simplemente un medio para explicar los detalles y puede servir como referencia cuando hay asuntos sobre como se llevara a cado el trato.

Lo malo es malo: Si por ejemplo, la otra parte no puede cumplir el acuerdo debido a problemas de precio o de oferta, entonces el negocio era malo desde el comienzo, y el contrato no es bueno. Lo mismo ocurre con los contratos celebrados con personas sin integridad, que simplemente no cumplirán con los términos del acuerdo. Si el apretón de manos de una persona no es bueno, su contrato tampoco lo será.

Por si el factor “Tal Vez”: Tu negocio puede estar construido en el mejor de los escenarios, pero tus contratos deben cubrir el peor de los escenarios. Se deben incluir dificultades por: defecto, deceso (muerte), deuda, discapacidad y destrucción. Su contrato debe responder a la pregunta, “¿Qué sucede en el caso de…?” porque todas estas cosas suceden cuando menos te lo esperas y con la gente que menos lo esperas. Tu contrato te servirá de plan de trabajo, ahorrándote tiempo, dinero y resentimientos.

Los ojos de expertos: Asegúrate siempre que un abogado revise el contrato. Es increíble cuánto puede exprimir de un contrato si sólo se toma la molestia de leerlo y solicitar algunos cambios. Cuando se pueda, pide que tu abogado prepare un borrador del contrato a fin de tener puntos a favor en la negociación, sin embargo mantén el negocio equilibrado, al hacer que este sea un gana-gana para ambas partes. De esta manera ambas empresas prosperan, y pueden seguir trabajando juntos.
 

Alguna notas adicionales sobre los contratos:
- Los contratos siempre deben hacerse por escrito y contener todos los aspectos de la oferta. Si la otra parte no está dispuesta a escribir lo que dice, se avecinan problemas.

- Incluya extensiones del contrato, renovaciones y opciones que estén a su favor, especialmente en los arrendamientos y contratos con los proveedores, así usted podrá controlar sus gastos generales en el futuro.

- No trate de eludir su responsabilidad. Su contrato está sujeto a la ley, así que si la ley dice que usted es responsable, efectivamente lo es.

- Si su empresa es una corporación, firme el contrato a nombre de la corporación para proteger sus bienes personales en caso de una demanda.

- Por último, recuerde que todo puede ser negociado en un contrato. Si no le gusta un determinado detalle o requisito, pida que lo retiren. Del mismo modo, si usted quiere agregar algo, solicítelo. Dirija la negociación de tal forma que el contrato se adapte a sus necesidades.
